Terms and conditions of use
These terms and conditions are the basis on which Inno Implants UK Ltd (registered in UK with company number 13107533) for the sale of goods on the website from the electronic ordering system.
1 Acceptance of Terms & Conditions
1.1 Inno Implants UK shall sell and the buyer shall purchase the goods in
accordance with any written quotation of Inno Implants UK which is accepted
by the buyer, or any written order of the buyer which is accepted by
Inno Implants UK, subject of either case to these conditions, which shall
govern the contract to the exclusion of any other terms and
conditions subject to which any such quotation is accepted
to be made by the buyer.
1.2 Any graphical, typographical or other error or omission on
any sales literature, quotation, price list, acceptance of offer, invoice
or other document or information issued by Inno Implants UK shall be subject
to correction without any liability on the part of Inno Implants UK.
1.3 No variation to these conditions shall be binding unless agreed in
writing between the authorised representatives of the buyer and
Inno Implants UK.
1.4 Inno Implants UK shall not be responsable for any delay or other failure to perform
any part of the contract as a result of factors outside the control of Inno Implants UK.
2 Risk and Property of Goods
2.1 Risk of damage to or loss shall pass to the buyer at the time of
delivery or, if the buyer wrongfully fails to take delivery of the
goods, the time when Inno Implants UK has offered delivery of goods.
2.2 Notwithstanding delivery and the passing of risk in the goods, or
any other provision of the conditions, property in the goods shall
not pass to the buyer until Inno Implants UK has received in cash or cleared
funds payment in full of all debts due by the buyer to Inno Implants UK.
2.3 Until such time as the property of the goods passes to the buyer,
the buyer shall hold the goods as Inno Implants UK agent and shall
keep the goods in good and substantial repair condition and
separate from those of the buyer and third parties and properly
stored, protected and identified as Inno Implants UK's property.
2.4 Until Inno Implants UK receives payment in full of the entire amount due by the
buyer, the buyer shall not have nor shall it permit any party to take
an interest in the goods and without prejudice to the
generality thereof the buyer shall not pledge, part with possession
of, or allow any charge, lien or other encumbrance to affect the
goods or the goods to be installed as a fixture of any property.
2.5 Each contract for the sale or supply of goods shall be treated as a
separate contract.
2.6 In the event of the buyer failing to make payment in accordance with
these conditions Inno Implants UK shall have the right to retake possession
of. Also permanently retain any goods which are unpaid and to revoke
all liability of Inno Implants UK to the buyer under any contract relating to such
goods. Further, the buyer shall allow Inno Implants UK's employees to enter any premises in which the goods are
housed and to remove the goods and shall pay all reasonable costs which may occur.
3 Prices and Payment
3.1 Payment is to be done online using the specific form after creating the Shop Account.
3.2 Prices quoted are current at time of publishing and can be listed without VAT until
the company qualifies for VAT registration.
Inno Implants UK reserves the right to modify shown prices at any time at its
including but not limited to correction of errors.
3.3 Payments can be approved if the product is not in stock but customer will be informed
on the delivery time of the backorder.
4 Returns and Credit
4.1 Goods to be returned are to be accepted for credit within 15 working days
from date of delivery provided they are accompanied by a Returns
Advice Note (issued with invoice).
4.2 Inno Implants UK reserves the right to charge a handling charge on
returned goods.
4.3 Returned goods lost or damaged in transit to Inno Implants UK will not be
credited. Inno Implants UK has no liability in such case.
4.4 Returned goods can only be accepted for exchange or credit if the
goods are in a readily saleable condition, unused and in original
packaging.
5 Delivery
5.1 Delivery is by first class post or next day carrier to mainland UK.
Inno Implants UK shall make intense effort to send on the same day all
orders received before 3:00pm except bank holidays and weekends.
5.2 The time of delivery will not be the essence of the agreement.
Inno Implants UK will not be held liable for any delay in delivery or the
consequences of such delay.
6 Law
Each contract shall be governed by the Law of UK and
is to be subject to the non-exclusive jurisdictions of the courts of
UK to which the buyer, by acceptance of these conditions,
agrees to submit.
